Chief Executive Officer's Report

February 2007

Directors Elected by Membership

Every year about this time, FKEC members may start hearing about elections for FKEC's Board of Directors. Last year, our board had two expired seats but no elections were required because both directors were running unopposed. The year before, three out of the four expired seats had more than one candidate nominated, so elections were held in three out of four districts.

But, whether or not the expired seats are contested each year, FKEC's staff manages the electoral process according to our bylaws and has the process supervised by the Supervisor of Elections. As a cooperative, we cannot endorse any candidate, only announce and hold our board elections according to the rules governing the election process.

FKEC's Board of Directors is comprised solely of members from our community. These board members are not employees, they are elected representatives from our membership that act on behalf of the community in directing certain aspects of the electric utility's affairs.

Because FKEC was established by our community as a member-owned utility, our Board of Directors (originally called the Board of Trustees) was created at the company's founding in 1940.

Directors are elected by you – the members – to represent the best interests of the community.

FKEC's directors are nominated by you, the energy consumers in the Upper and Middle Keys, to represent you and your interest in your local electric cooperative.

FKEC's board has nine seats, and each director must be a member in his or her voting district. Directors must be nominated and elected by their home district.

The board has the authority to establish policies and provide operational oversight to promote a progressive, financially-sound utility.
